Terms and Conditions
1. Agreement
Installing or using the app means you accept these terms. Your electronic acceptance, such as clicking to install, has the same legal effect as a handwritten signature. If you install or use the app for a business, you accept these terms on that business’s behalf and confirm you have the authority to bind it.
The app is for business and professional use only, not for personal, family, or household purposes.
These terms and the app’s Privacy Policy are the complete agreement between you and GoDataFeed for the app, and they replace any earlier proposals or discussions about it. The GoDataFeed Terms of Use govern GoDataFeed’s other services. If you and GoDataFeed sign a separate written agreement that covers the app, that agreement controls where it directly conflicts with these terms.
2. Relationship to Wix
GoDataFeed provides the app, not Wix. Wix distributes the app through the Wix App Market and runs the platform the app is built on. Wix is not a party to these terms and is not responsible for the app. Wix’s own terms and policies govern your use of Wix, including the App Market.
3. What the app does
The app reads product data from your Wix store and uses it to build, validate, and submit product listings to the channels you connect: Google, Facebook and Instagram, Microsoft, and Pinterest. Processing includes automated and AI-assisted steps, such as matching your product fields to each channel’s requirements and flagging data problems before submission.
We may add, change, or remove features as the app develops. Any commitment to a specific feature or service level must appear in a written agreement that GoDataFeed signs or expressly accepts.
4. Your account
Give accurate, current, and complete information when you set up the app, and keep your business and contact information up to date. Respond within a reasonable time when we ask for information we need to verify your account, run the app, comply with the law, or investigate fraud, misuse, or a security concern. If your information is materially false, or we cannot reasonably verify it, we may suspend or end your access under section 11.
Keep your passwords, API credentials, and authentication tokens (“account credentials”) confidential and secure. You are responsible for activity under your account by the people you authorize, and for all other activity that uses your account credentials, except where that activity results from GoDataFeed’s breach of these terms. Remove access promptly for anyone who is no longer authorized to act for you.
Tell us promptly at infosec@godatafeed.com if you know of or suspect unauthorized access to your account, a compromise of your account credentials, or another security incident that affects your use of the app. GoDataFeed is not responsible for losses that result from your failure to reasonably safeguard your account credentials, or from actions by people you authorized, except where the loss results directly from GoDataFeed’s breach of these terms, gross negligence, or willful misconduct. We may temporarily suspend access where reasonably necessary to protect the app, your account, other customers, or connected services.
GoDataFeed maintains commercially reasonable administrative, technical, and physical safeguards designed to protect your data against unauthorized access, use, or disclosure. If we learn of unauthorized access to your data in our systems, we will notify you without undue delay, and in any event within the time the law requires, and take reasonable steps to limit the effects.
5. Your channel accounts
Each channel requires its own merchant account (for example, Google Merchant Center), and those accounts are yours. You are responsible for maintaining them and for complying with each channel’s terms and policies. You authorize GoDataFeed to access, retrieve, process, modify, transmit, sync, and submit your data to the channels you connect, as needed to run the app. GoDataFeed does not control the channels and is not responsible for changes to their APIs, specifications, policies, algorithms, fees, approval processes, or availability.
Review your product data, rules, categories, and listings before you publish or submit them to a channel, and make sure they comply with the law and the channel’s requirements. You are solely responsible for the ad spend, bids, budgets, channel fees, and commissions that channels charge, and for the orders, prices, promotions, inventory levels, and product information you publish through the app. That includes amounts and orders that result from errors in your data, rules, or settings, or from AI output you approve. GoDataFeed does not honor, refund, or reimburse those amounts or orders.
The channels, not GoDataFeed, decide whether your products are approved and shown. Sales and ad performance depend on factors outside our control, such as your products, prices, inventory, budgets, bids, competition, consumer demand, and channel algorithms. We do not guarantee approval, placement, ranking, traffic, clicks, conversions, sales, or return on ad spend.
6. Your data
“Your data” means the product data, catalog information, images, prices, inventory, feed settings, account information, and other material you make available to the app, including data the app reads from your Wix store at your direction. As between you and GoDataFeed, you own your data.
You grant GoDataFeed a limited, non-exclusive right to access, host, store, process, modify, transmit, and display your data as reasonably necessary to provide, operate, maintain, support, and secure the app and to perform the services you request. Except as these terms describe, GoDataFeed stores and uses your data only for your own account. You confirm you have the rights and permissions to provide your data and to authorize this use.
The app’s built-in machine-learning features, such as product categorization and attribute mapping, learn from the changes the app makes to your data, not from your data itself. GoDataFeed may use information about those changes to train and improve those features, as long as the features do not disclose your data or confidential information to other customers or third parties.
GoDataFeed may create aggregated or de-identified information from use of the app to analyze performance, develop and improve features, maintain security, and run its business, as long as that information does not reasonably identify you or any individual. GoDataFeed will not use your data, or aggregated or de-identified information, to train or fine-tune general-purpose AI models offered to the public or to other businesses, such as foundation models or large language models, and will not let its third-party AI providers do so, unless you expressly authorize it in writing.
You are responsible for having the rights, notices, consents, and other lawful bases needed to make data available to the app. Where GoDataFeed processes personal information for you as a service provider or processor, it does so under applicable data protection requirements and any written data protection terms we agree with you. The Privacy Policy explains how we handle data. More detail is on GoDataFeed’s GDPR page and sub-processors page.
7. AI features
Some app features use artificial intelligence or machine learning to generate, recommend, categorize, summarize, or optimize product data and other content (“AI features”). Output that AI features generate or suggest (“AI output”) is provided to assist you and may contain errors, omissions, inaccuracies, or content that does not meet your requirements or a channel’s requirements.
GoDataFeed does not review or validate AI output before the app presents it to you. Review it, edit it where needed, and approve it before you publish, submit, or rely on it. GoDataFeed does not warrant that AI output is accurate, complete, unique, non-infringing, suitable for a particular purpose, or compliant with any channel’s policies.
As between you and GoDataFeed, and to the extent the law allows, you own any rights GoDataFeed may have in AI output generated specifically from your data. Similar or identical output may be generated for other users.
GoDataFeed will not use data you submit to AI features to train or fine-tune general-purpose AI models offered to the public or to other businesses. GoDataFeed will require the third-party AI providers it uses for AI features to process your data under contractual and privacy requirements, including restrictions that prohibit those providers from using your data to train or improve their own models. AI features may change, be limited, or end as technology, providers, laws, and channel requirements change.
8. Acceptable use
Use the app only for lawful business purposes and in line with these terms. You will not, and will not let anyone else:
- use the app in violation of the law or the rights of others, or to process content that is unlawful, fraudulent, infringing, defamatory, or abusive;
- introduce viruses, malware, or other code meant to disrupt, damage, or interfere with the app or any connected system;
- try to gain unauthorized access to the app, another customer’s account, GoDataFeed’s systems, or any third-party system or network;
- interfere with, overload, or impair the security, availability, or performance of the app;
- impersonate anyone, misrepresent your identity or authority, or use the app for fraud or deception;
- use the app to send unlawful spam or other communications the law prohibits;
- get around usage limits, plan restrictions, security controls, or fees;
- use the app in violation of a channel’s terms, policies, or requirements;
- submit highly sensitive or specially regulated data, such as Social Security numbers, government ID numbers, full payment-card data, protected health information, or biometric identifiers, unless GoDataFeed agrees in writing to process it;
- reverse engineer, decompile, disassemble, copy, modify, sell, resell, or sublicense the app, or try to derive its source code, except where the law prohibits this restriction;
- create derivative works of the app, use it to build or benchmark a competing product, or access it with bots, scrapers, or other automated means except through interfaces GoDataFeed provides; or
- use the app in a way that creates a material security, legal, operational, or reputational risk to GoDataFeed, its customers, or its service providers.
GoDataFeed has no duty to monitor your use of the app or your data but may do so. We may remove, disable, or refuse to transmit content or data we reasonably believe violates these terms, the law, or a channel’s requirements. We may disclose information, including your data, as we reasonably believe the law, a regulation, legal process, or a government request requires.
We may investigate suspected violations of this section and restrict, suspend, or end access where reasonably necessary to prevent unlawful activity, protect the app or others, meet legal requirements, address a security risk, or respond to a material violation of these terms. Where reasonably practicable, we will try to give you notice and a chance to fix the issue first. We may act without notice where security threats, unlawful conduct, fraud, legal requirements, or material harm require immediate action. You are not entitled to a refund if we end your access because of a material violation of this section.
9. License and intellectual property
While your plan is active and you comply with these terms, GoDataFeed grants you a limited, non-exclusive, non-transferable, non-sublicensable right to use the app with your Wix store for your internal business purposes.
GoDataFeed and its licensors own the app and all related software, technology, APIs, interfaces, documentation, designs, trademarks, and other intellectual property, including all updates and improvements. These terms do not transfer any of it to you beyond the right in this section.
If you send us suggestions or other feedback about the app, we may use it without restriction or obligation, as long as that use does not disclose your confidential information.
10. Fees and billing
Plans, fees, and any free tier appear on the app’s Wix App Market listing. Billing for the app runs through Wix under Wix’s billing terms, which govern payment, renewal, and the timing of cancellations.
Each plan has the usage limits shown in its listing, such as the number of SKUs, included feeds, and syncs per day. If your use exceeds your plan’s limits, we may, after notice, require you to move to a plan that fits your usage.
Fees are non-refundable except where the law requires a refund or these terms provide one. Refunds, where any apply, follow Wix App Market policies. We may change fees. A change to recurring fees takes effect with a later billing period, after at least 30 days’ notice to you.
11. Term, cancellation, and termination
These terms apply from the time you install the app for as long as it stays installed or your plan stays active. You can cancel your plan and uninstall the app from your Wix site at any time; syncing to your channels stops when you do. Wix’s billing terms govern when a cancellation takes effect for billing.
GoDataFeed may suspend or end your access for material breach of these terms, nonpayment, unlawful or fraudulent activity, a material security risk, or use of the app that results in actual or threatened legal action or a channel enforcement action against GoDataFeed. Where a breach can reasonably be fixed and immediate suspension is not needed to protect GoDataFeed, you, other customers, or third parties, we may give you a reasonable chance to fix it. GoDataFeed may also end these terms or your access to the app for convenience with 30 days’ written notice; in that case, we will refund any prepaid fees for the part of the billing period that remains after the end date.
When your access ends, your right to use the app stops, fees properly incurred up to the end date remain due, and amounts already paid remain non-refundable except as these terms or the law provide. Your product catalog stays in your Wix store. GoDataFeed deletes your data from active systems within 30 days after your access ends, except for information in routine backups or logs, information we must keep for legal, security, fraud-prevention, accounting, dispute-resolution, or regulatory purposes, and information we keep as the Privacy Policy describes.
Sections that by their nature should survive, including payment obligations, intellectual property, confidentiality, warranty disclaimers, limitation of liability, indemnification, governing law and disputes, and publicity, survive after these terms end.
12. Your representations
You represent and warrant that:
- you have the legal authority and capacity to accept these terms, and anyone who accepts them for you has authority to bind you;
- you have the rights, licenses, permissions, and consents needed to provide your data and to authorize its use under these terms;
- your use of the app, and your data, products, ads, listings, and other materials, will not violate the law or infringe anyone’s intellectual property or other legal rights;
- you have, and will keep, the rights and permissions needed to connect each channel account, API, credential, or token to the app;
- you will comply with the terms and policies of the channels you use with the app; and
- you will not use the app for fraudulent, deceptive, unlawful, or unauthorized purposes.
If you are an individual or sole proprietor, you confirm you have reached the age of majority needed to enter a binding contract. GoDataFeed may restrict, suspend, or end access where reasonably necessary to comply with the law, legal process, government or channel requirements, or these terms, or to protect the security, integrity, or lawful operation of the app.
13. Disclaimer of warranties
EXCEPT AS A SEPARATE WRITTEN AGREEMENT EXPRESSLY PROVIDES, THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT THE LAW ALLOWS, GODATAFEED DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
GODATAFEED DOES NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, ERROR-FREE, COMPLETELY SECURE, OR AVAILABLE AT ALL TIMES, THAT ALL DEFECTS WILL BE CORRECTED, OR THAT EVERY DATA PROBLEM WILL BE CAUGHT BEFORE SUBMISSION. GODATAFEED DOES NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF ANY DATA TRANSFORMATION, FEED, RECOMMENDATION, OPTIMIZATION, CATEGORY MAPPING, ADVERTISING RESULT, AI OUTPUT, OR OTHER RESULT THE APP PRODUCES, OR THAT ANY CHANNEL WILL ACCEPT, APPROVE, RANK, DISPLAY, OR KEEP YOUR PRODUCTS, FEEDS, ADS, LISTINGS, OR ACCOUNTS. CHANNELS AND OTHER THIRD-PARTY SERVICES OPERATE UNDER THEIR OWN TERMS, AND GODATAFEED DOES NOT WARRANT THEIR AVAILABILITY, CONTINUED FUNCTIONALITY, OR PERFORMANCE. NO ORAL OR WRITTEN INFORMATION OR ADVICE FROM GODATAFEED CREATES A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
GoDataFeed provides support at the level that applies to your plan. Unless a written agreement says otherwise, the app has no guaranteed uptime, service credits, response-time commitment, or other service level. Features marked beta, preview, pilot, early access, or similar may be incomplete or contain errors, may change materially or end at any time, are provided “as is” without service-level commitments, and should not be relied on for production-critical purposes.
14. Limitation of liability
TO THE MAXIMUM EXTENT THE LAW ALLOWS, GODATAFEED AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT THE LAW ALLOWS, GODATAFEED’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP WILL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID FOR THE APP, DIRECTLY OR THROUGH WIX, DURING THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM. THESE LIMITS APPLY WHETHER A CLAIM ARISES IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, OR ANY OTHER THEORY OF LIABILITY.
Amounts you pay to channels or other third parties, including ad spend, channel fees, and commissions, are not amounts paid for the app under this section, even if you managed, configured, or submitted them through the app. These limits do not apply to liability that the law does not allow us to exclude or limit, and they do not limit your obligation to pay fees properly due.
15. Indemnification
You will defend, indemnify, and hold harmless GoDataFeed, its affiliates, and their officers, directors, employees, contractors, agents, and representatives against any third-party claim, action, or proceeding, and any resulting loss, liability, damage, judgment, settlement, cost, or reasonable attorneys’ fee, arising out of or related to:
- your data, products, ads, listings, content, or other materials you provide or make available;
- your actual or alleged violation of a law or regulation;
- your actual or alleged infringement or misappropriation of a third party’s intellectual property, privacy, publicity, or other legal rights;
- your breach of your representations, warranties, or obligations under these terms;
- your misuse of the app;
- your use of a channel in violation of its terms, policies, or requirements;
- any activity through your account or account credentials, whether or not you authorized it, except where it results from GoDataFeed’s breach of these terms; or
- the negligence or willful misconduct of you or your personnel.
GoDataFeed will give you reasonably prompt notice of a claim and reasonable cooperation in its defense. GoDataFeed may choose to control the defense and settlement with counsel of its choice, at your expense. If it does not, you control the defense with counsel GoDataFeed reasonably accepts, and GoDataFeed may take part with its own counsel at its own expense. You may not settle a claim in a way that admits wrongdoing by GoDataFeed, imposes liability or obligations on GoDataFeed, or requires GoDataFeed to pay, without GoDataFeed’s prior written consent. Your obligations under this section survive after these terms end.
16. Governing law and disputes
Florida law governs these terms and any dispute related to them or the app, without regard to conflict-of-laws principles. Both sides consent to the exclusive jurisdiction and venue of the state and federal courts in Broward County, Florida, and waive any objection to that jurisdiction or venue. Either side may seek temporary, preliminary, or permanent injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information, and GoDataFeed may do so to protect the security or integrity of the app.
TO THE MAXIMUM EXTENT THE LAW ALLOWS, EACH SIDE KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP. ANY SUCH ACTION OR PROCEEDING WILL BE BROUGHT ONLY IN A PARTY’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
In any action or proceeding to enforce or interpret these terms, the prevailing party is entitled to recover its reasonable attorneys’ fees and costs, including on appeal.
17. Confidentiality
Each side may receive non-public business, technical, financial, product, security, pricing, customer, or other information from the other that is marked confidential or should reasonably be understood as confidential (“confidential information”). The receiving side will use it only to provide or receive the app or to exercise its rights under these terms, and will protect it with at least reasonable care. It may share confidential information with employees, contractors, professional advisers, and service providers who have a legitimate need to know it and are bound by appropriate confidentiality obligations.
Confidential information does not include information the receiving side can show is or becomes public without a breach of these terms, was lawfully known to it without confidentiality restrictions before disclosure, is lawfully received from a third party without a breach of a confidentiality obligation, or is independently developed without use of the other side’s confidential information. If the law, a subpoena, a court order, or a government authority requires disclosure, the receiving side may disclose what is legally required and, where the law permits, will give the other side reasonable notice.
18. Changes to these terms
We may update these terms to reflect changes to the app, our business practices, the law, regulatory requirements, or other operational needs. Updated terms appear on this page with a new “Last updated” date. Where the law requires it, or where a change materially affects your rights or obligations, we will give you at least 30 days’ notice by email, in the app, or by another reasonable method before the change takes effect, unless the law requires a shorter period or the change is needed to address a security issue or legal requirement.
We may require you to accept updated terms to keep using the app. Continued use of the app after updated terms take effect means you accept them. If you do not agree to a material change, you may cancel your plan and uninstall the app.
19. General terms
If a court holds any part of these terms invalid, illegal, or unenforceable, that part will be limited to the minimum extent needed to make it enforceable while keeping its intended effect, or removed if that is not possible, and the rest of these terms stays in full effect. A failure or delay in enforcing a right is not a waiver of it. A waiver is effective only in writing from an authorized representative, and a waiver of one breach does not waive any later breach.
Except for your obligation to pay amounts properly due, neither side is liable for delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, fires, floods, hurricanes, epidemics or pandemics, war, terrorism, civil unrest, labor disputes, government actions, power failures, telecommunications or internet outages, widespread hosting or cloud-infrastructure failures, or outages, interruptions, or material changes at channels or other services the app reasonably depends on. The affected side will use commercially reasonable efforts to limit the effects and resume performance as soon as reasonably practicable.
You and GoDataFeed are independent contracting parties. These terms create no partnership, joint venture, franchise, fiduciary, employment, or agency relationship; neither side may bind the other; and these terms give no rights or remedies to any third party. You may not assign or transfer these terms without GoDataFeed’s prior written consent. GoDataFeed may assign them to an affiliate or in connection with a merger, acquisition, corporate reorganization, financing, sale of substantially all assets related to the app, or similar transaction. Any assignment that violates this section is void. Subject to these limits, these terms bind and benefit the parties and their permitted successors and assigns.
Unless you tell us otherwise in writing at contact@godatafeed.com, GoDataFeed may identify you as a customer, including by showing your name and logo on its website, customer lists, and marketing materials. GoDataFeed will not publish case studies, testimonials, or quotes attributed to you without your prior approval, which you may give by email.
You will comply with all applicable export control and economic sanctions laws in your use of the app. You represent that neither you nor any user of your account is located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, or named on any U.S. government restricted-party list, and you will not let anyone access or use the app in violation of those laws.
20. Notices and contact
GoDataFeed may send notices about the app or these terms by email to the address on your account, in the app, or by posting them on this site where appropriate. Electronic notices count as written communications to the extent the law allows. Keep your account contact information accurate and current.
